国际贸易合同中的装运条款

SHIPPING CLAUSE

装运条款主要包括装运港和目的港、装运期、是否允许分批装运与转船、装运通知、装卸时间、装卸率、滞期和速遣等多个单项条款

1、装运港Port of shipmen / Port of loading和目的港条款Port of Destination / discharge

例如：装运港：天津

Port of shipment: Tianjin

目的港：鹿特丹

Port of Destination: Rotterdan

2、装运期Time of Shipment

例1 规定具体的装运月份

2003年3月装运

shipment during March,2003

例2 规定一段装运时间

2003年3月5日至20日装运

shipment from March 5-20,2003

3、分批装运Partial shipment与转船Transshipment

例1允许分批装运。允许转运

Partial shipment & Transshipment

例2 4/5/6月份每月装一批，每批数量相等

shipment in Apr/May/June in 3 equal monthly lots

4、装运通知shipping Advice

例如：货物全部装船后，卖方应立即将合同编号、商品名称、数量、毛重、发票金额、船名及开航日期电告买方。如由卖方未及时将装运通知电告买方，以致货物未及时保险而发生的一切损失由卖方承担。

(Immediately the goods are completely loaded ,the sellers shall cable to notify the Buyers of the contract number; name of commodity、 quantity、 gross weight, invoice value、 name of the carrying vessel and the date of sailing. in case the goods are not insured in time owing to the seller’s having failed to give timely advice ,any and consequent loss shall be born by the sellers )

5、装卸时间(time of shipment)、装卸率(loading rare)、滞期和速遣(Demurage&Fast Despatch)

例如：卖方须于买方所租的载货船只到达装运港的当日开始装船。装货率为每个晴天工作日100公吨，装货时间为6个晴天工作日。滞期费为每个晴天工作日4000美元，不足一天者按比例计算；速遣费是滞期费的一半，不足一天者按比例计算

（The sellers should start loading at the very day the carring vessel chartered by the buyer arrives the port of shipment .the average loading rate is 100 metric tons per Weather Working Days .The loading of all goods should finish in 6 Weather Working Days. Demurage is at the rate of US$ 4000 per a Weather Working Day.Despatch rate is half the demurage rate or prorate for any part of a Weather Working Day. ）

一、收到信用证后一定时间内装运

例 收到信用证后30天内装运，买方必须在5月15日之前将有关信用证开道卖方。

Shipment within 30days after receipt of L/C, the relevant L/C must reach the seller not later than May 15.

从五月份开始分三批按月等量装运，每批装运20吨

In three equal monthly installment (shipments/lots) each of 20 tons (of 20 tons each) beginning (commercing) from (with/in) May.

货物约等分两批装运，每批间隔25天

In two approximately equal shipments required 25days apart at intervals of 25days.

卖方应保证每个晴天工作日装700吨进入全部货仓，或按可供货仓数量的比例装货。每日的速遣费为600美元，滞期费为1200美元

Sellers guarantee to load 700M/T per WD(weather working days ) for all hatches ,or prorate according to avail ability of hatches .Dispatch at US600 per day and Demurrage at US 1200 per day.

本合同所定货物一经装运，应即以电报通知买方。

Shipment effected under this contract shall be promptly informed to the buyer by able.

提单日期应作为装运期，若延迟交货，买方得撤销合同，并索赔因违约所造成的损失。

The date of Bill of lading shall be considered as the date of shipment .In the event of delay in shipment, buyer may cancel the contract and claim damages for breach of the contract.

二、规定收到信汇、电汇、票汇后一定时间内装运

例 收到信汇（电汇、票汇后）25天内装运。

Shipment within 25 days after receipt of M/T (T/T, D/D)

三、规定具体的装运期限

5月30日前装运。 Shipment before May 30.

3月份装运100公吨，4月份装运100公吨。

Shipment 100 M/T during March and 100 M/T during April.

8-9月份分两批平均装运。 Shipment during August / September in two equal lots.

四、装运术语

立即装运 shipment immediately

尽快装运 shipment ASAP

装运港：上海 (port of shipment: Shanghai)

目的港：伦敦，允许在香港转船

port of destination: London. Transhipment at Hong Kong allowed.

五、载运货物的船只安排

载运船只由卖方安排，允许分批载运及转船。卖方于货物装船后，应将合同号码、品名、船名、装船日期以电报通知买方。

The carrying vessel shall be provided by the sellers. Partial shipment and transshipment are allowed. After loading is completed, the seller shall notify the buyers by cable of the contracted number, name of commodity, name of the carrying vessel and date of shipment.

ex 与 per源自拉丁语的介词 ex 与 per 有各自不同的含义。英译由某轮船“运来”的货物时用 ex，由某轮船“运走”的货物用 Per，而由某轮船“承运”用 by。

由“维多利亚”轮运走/运来/承运的最后一批货将于 10 月 1 日抵达伦敦。

The last batch per/ex/by S.S. “Victoria” will arrive at London on October (S.S. = Steamship)

装运条款Terms of Shipment

(1) FOB交货方式

卖方应在合同规定的装运日期前30天，以＿＿方式通知买方合同号、品名、数量、金额、包装件、毛重、尺码及装运港可装日期，以便买方安排租船/订舱。装运船只按期到达装运港后，如卖方不能按时装船，发生的空船费或滞期费由卖方负担。在货物越过船弦并脱离吊钩以前一切费用和风险由卖方负担。

The Seller shall, 30 days before the shipment date specified in the Contract, advise the Buyer by _____ of the Contract No., commodity, quantity, amount, packages, gross weight, measurement, and the date of shipment in order that the Buyer can charter a vessel/book shipping space. In the event of the Seller’s failure to effect loading when the vessel arrives duly at the loading port, all expenses including dead freight and/or demurrage charges thus incurred shall be for the Seller’s account.

(2) CIF或CFR交货方式

卖方须按时在装运期限内将货物由装运港装船至目的港。在CFR术语下，卖方应在装船前2天以＿＿方式通知买方合同号、品名、发票价值及开船日期，以便买方安排保险。

The Seller shall ship the goods duly within the shipping duration from the port of loading to the port of destination. Under CFR terms, the Seller shall advise the Buyer by _____ of the Contract No., commodity, invoice value and the date of dispatch two days before the shipment for the Buyer to arrange insurance in time.

卖方应在每一包装箱相邻的四面用不可擦除的油漆和明显的英语字样做出以下标记：

The Supplier shall mark the following on the four adjacent sides of each package with indelible paint in conspicuous English printed words；

六、溢短装

Quantity, unless otherwise arranged, shall be subject to a variation of 5% plus or minus at Seller’s option.

量：除非另作安排，量可由卖方选择作加或减5%的变动。

The seller has the option of delivering 5% more or less of the contracted quantity.

买方有权决定按合同数量增减5%

Should the weight ascertained as a result of reweighting the goods at the port of destination differ from the bill of Lading weight by up to one percent more or less, the bill of Lading weight shall be deemed final for the settlement of accounts between the parties.

在目的港对货物再次所得的重量，如与提单重量相差仅1%增减，则提单重量作为上方结算的最后依据。

Net shipping weight; loss in weight exceeding (or over) 5% to be for Seller’s account.

以装运净重为准，如重量损耗超过5%，超过部分由卖方负担。

When the Seller delivers to the buyer a quantity of goods larger than he contracted to sell, the buyer may accept the goods included in the contract and reject the rest, or he may reject the whole. If the buyer accepts the whole of the goods so delivered he must pay for them at the contract rate.

卖方交付买方的数据，如多于契约所订出售所数量，卖方可接受契约所定数量而拒绝其余部分，也可拒绝全部货物。如买方接受所交全部货物，则必须按契约所定价格交付货款。

1200公吨，卖方有5%的溢短装。
